These Terms & Conditions govern the sale, delivery, installation, and warranty of industrial machinery and services provided by Caple Industrial Solutions.

Price

Ex-Seller’s warehouse / Ex-Works OEM. Freight, insurance, unloading, and other charges extra.

Payment

30% non-refundable advance with order; balance 70% before dispatch. Delayed payments will attract 18% p.a. interest.

If unpaid beyond 90 days of readiness notice, advance forfeited as compensation (not consideration) without supply of Goods; Seller may resell and recover all losses. Title remains with Seller until full payment is made.

Delivery

To be agreed. The buyer must take insurance for the goods against transit damage, unloading, shortages, storage and up to erection.

Installation

Can be undertaken only after the due payment, a signed pre-installation checklist confirming the site readiness, approvals, and utilities.

Buyer bears all travel, boarding, lodging, labour, material handling, tools, and site costs for installation.

During warranty, only valid service charges may be free; engineer travel, lodging, and boarding at Buyer’s expense.

CAD/CAM mapping, relocation, reinstallation, recalibration, and retraining services are chargeable.

Warranty

If given by Manufacturer: back-to-back with Manufacturer’s policy, manufacturing defects only, for stated period or 12 months / 1,000 hours (earlier).

Consumables and wear parts excluded. Cosmetic damage is not disputable.

Void on: misuse, overload, poor maintenance, unauthorised repair/modification/relocation, non-approved tools/spares/materials, utility failure, dust/moisture/weathering, missed lubrication, tampering, or payment default.

Service requests must be mailed in writing, with the serial number and proof of purchase.

Remedy: repair only. No refund, replacement, or consequential claim.

Disclaimer

Liability capped at the lower of 5% of invoice value or amount received. Not liable for indirect or consequential loss.

Buyer indemnifies Seller for data leakage, defamation, default, injury, EHS breach, misuse, modification, or third-party damage post risk transfer.

Jurisdiction

These Terms form the entire agreement, overriding inconsistent Buyer terms. Indian law.

Mumbai courts have exclusive jurisdiction. Arbitration in Mumbai. The seller may seek interim relief at the Mumbai courts.

By ordering, paying, accepting delivery, or using any service, Buyer accepts these Terms.

Validity

Offer and price valid for 7 days from quotation date, subject to availability.
